These Digital Product License Terms apply to digital products purchased from Susie Velvet Studio through velvetdownloads.com.
By purchasing, downloading, accessing, opening, or using a digital product from Susie Velvet Studio, you agree to these License Terms.
If a specific product listing includes additional or different license terms, the product-specific terms will apply to that product.
1. Ownership
All digital products sold by Susie Velvet Studio remain the intellectual property of Susie Velvet Studio or the applicable rights holder.
Purchasing a digital product does not transfer ownership of the copyright, design, layout, template, artwork, written content, structure, source file, branding, spreadsheet system, formula system, database structure, or other intellectual property contained in the product.
You are purchasing a limited license to use the product, not ownership of the product itself.
2. License Granted
Unless otherwise stated on the product page, Susie Velvet Studio grants the purchaser a limited, non-exclusive, non-transferable, revocable license to use the purchased digital product for the permitted purpose described in these License Terms and on the applicable product page.
The license is granted only to the original purchaser.
The license may not be transferred, assigned, sold, sublicensed, or given to another person or business.
3. Personal Use
Products described as being for personal use may be used by the purchaser for their own personal, household, family, planning, organizational, educational, or non-commercial purposes.
Personal-use products may not be used by a business for commercial operations unless the applicable product listing expressly permits business use.
4. Business Use
Certain Susie Velvet Studio products are specifically designed for business use.
Where a product is identified as a business template, business organizer, business planner, command center, spreadsheet system, workflow tool, operational template, or similar business product, the purchaser may use the product internally within their own business.
Internal business use may include adapting the purchased files for the purchaser’s own business operations, entering company information, adding internal data, printing copies for internal use, and using the system with employees or contractors who are working directly for that same business.
Business use does not include the right to resell, redistribute, sublicense, publish, or commercially distribute the original product or modified versions of the product.
5. Single-Business License
Unless a product listing states otherwise, a business-use purchase is licensed for use by one purchaser and one business entity.
If the purchaser owns or operates multiple separate businesses, a separate license may be required for each business.
Agencies, consultants, virtual assistants, coaches, service providers, or other professionals may not purchase one copy and distribute that copy to multiple clients unless the product includes an express multi-client or commercial license.
6. Employee and Contractor Access
If the purchased product is licensed for business use, the purchaser may allow employees or contractors working directly for the licensed business to access the product only as reasonably necessary for internal business operations.
The purchaser remains responsible for preventing unauthorized copying or redistribution.
Employees and contractors may not retain, resell, distribute, or use the files independently outside the licensed business.
7. Editing and Customization
Where a product is editable, you may modify it for your own permitted use.
This may include adding your name, company name, business information, internal procedures, customer information, branding, notes, records, or other content relevant to your permitted use.
However, editing or customizing a product does not create a new copyright or ownership right in the underlying Susie Velvet Studio product.
Changing fonts, colors, text, logos, page layouts, spreadsheet entries, formulas, images, headings, branding, or other elements does not give you the right to resell or redistribute the modified product.
8. Prohibited Uses
You may not, unless you have received express written permission from Susie Velvet Studio:
- Resell the original digital product.
- Resell an edited or modified version of the product.
- Redistribute the product for free or for payment.
- Share the download file with another person or business outside the licensed use.
- Upload the files to public websites, file-sharing platforms, membership libraries, cloud libraries, template marketplaces, or shared resource platforms.
- Sell or distribute the product through Etsy, Amazon, Creative Market, Gumroad, Shopify, WooCommerce, Canva, Teachers Pay Teachers, Fiverr, or any other marketplace or website.
- Claim the original design, content, layout, system, template, spreadsheet, or product structure as your own.
- Remove or conceal copyright notices, license notices, or Susie Velvet Studio branding where such notices are included.
- Convert the product into another file format for the purpose of resale or redistribution.
- Use portions of the product to create competing templates, planners, organizers, spreadsheets, or digital products for resale.
- Use the product as part of a bundle, membership, course resource library, subscription product, lead magnet, giveaway, or client deliverable unless specifically authorized.
- Share login credentials or download links for the purpose of giving another person access to the purchased product.
- Use automated systems, scraping tools, artificial intelligence systems, extraction tools, or similar technologies to systematically reproduce or create a competing version of the purchased product.
9. Client Work
Unless a product listing expressly states that client use is permitted, purchasing a product does not give you the right to provide copies of the product to your clients.
For example, a consultant may use a business template internally to organize their own business, but may not purchase one template and provide copies to multiple client businesses.
A separate license or separate purchase may be required for each client.
10. Printing Rights
Where applicable, you may print reasonable quantities of the purchased product for your own permitted personal or business use.
You may also use a professional print shop to print the product for your own use.
You may not instruct or authorize a print shop to reproduce the product for resale, general distribution, or sale to third parties.
11. Digital File Sharing
Purchased digital files are intended only for the licensed purchaser and authorized users permitted under these terms.
Forwarding download emails, sharing ZIP files, sending PDFs or spreadsheets to unrelated third parties, uploading files to public storage folders, or sharing unrestricted download links is prohibited.
12. Backup Copies
You may make reasonable backup copies of purchased digital products for your own permitted use.
Backup copies remain subject to these License Terms.
Backup rights do not permit distribution or sharing.
13. Templates Containing Customer or Business Data
Some products may allow you to enter customer, employee, patient, client, financial, operational, scheduling, or other business information.
You are responsible for complying with applicable privacy, confidentiality, data protection, recordkeeping, industry, and security requirements when entering or storing information in the templates.
Susie Velvet Studio does not control how customers use or secure information entered into purchased files.
14. Sensitive Information
Some templates may not be suitable for storing highly sensitive, confidential, regulated, medical, financial, or legally protected information without additional security measures.
You are responsible for determining whether a product is appropriate for your specific data and compliance requirements.
15. No Transfer of Trademark Rights
Purchasing a product does not grant any right to use the Susie Velvet Studio name, logo, trademarks, branding, product names, trade dress, or other brand identifiers except as they appear within the purchased product for permitted use.
You may not represent yourself as an authorized partner, reseller, representative, affiliate, or distributor of Susie Velvet Studio unless separately authorized in writing.
16. Copyright Protection
Susie Velvet Studio products may be protected by copyright and other intellectual property laws.
Unauthorized copying, redistribution, publication, resale, or commercial exploitation may constitute copyright infringement.
We reserve the right to enforce our intellectual property rights where appropriate.
17. License Termination
Your license may be terminated if you materially violate these License Terms.
If your license is terminated, you must stop using, distributing, sharing, or accessing the affected digital product and delete unauthorized copies where legally permitted.
Termination of a license does not limit other rights or remedies that may be available to Susie Velvet Studio.
18. Refunds and License Rights
Refunds are governed by our separate Refund and Returns Policy.
If a purchase is refunded, cancelled, reversed, or charged back, any license granted for the refunded product may terminate, except where applicable law provides otherwise.
After a refund or successful payment reversal, the customer may no longer have the right to continue using the product.
19. No Guarantee of Results
Digital products are tools designed to assist with planning, organization, business operations, recordkeeping, productivity, or related activities.
Purchasing a license does not guarantee financial results, business success, profitability, productivity improvements, legal compliance, or any specific outcome.
20. No Professional Advice
Susie Velvet Studio digital products do not constitute legal, accounting, tax, financial, medical, employment, compliance, regulatory, or other professional advice.
Templates should be reviewed and adapted to your own situation.
Professional advice should be obtained where appropriate.
21. Updates
A purchase does not automatically include lifetime product updates unless this is expressly stated on the applicable product page.
We may update, modify, discontinue, replace, or improve products at our discretion.
Where updates are provided, the same License Terms generally apply to the updated version.
22. Commercial Licenses
Certain products may be offered with a separate commercial, extended, agency, multi-business, or multi-client license.
Where a separate license is purchased, the terms of that specific license will control over conflicting provisions in this standard license.
You may not assume commercial resale or redistribution rights unless those rights are expressly stated in writing.
23. Enforcement and Unauthorized Distribution
If we discover unauthorized distribution, resale, copying, sharing, publication, or commercial use of our products, we may take reasonable steps to protect our rights.
Such steps may include terminating access, disabling download privileges, requesting removal of unauthorized content, sending infringement notices, pursuing payment for unauthorized licenses, or seeking other remedies available under applicable law.
24. Governing Law
These License Terms are governed by the laws of the State of New York, United States, except where applicable consumer law requires otherwise.
Nothing in these License Terms is intended to remove consumer rights that cannot legally be waived.
25. Severability
If any part of these License Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.
26. Changes to These License Terms
We may update these License Terms from time to time.
The updated version will be posted on our website with a revised “Last updated” date.
The license terms applicable at the time of purchase will generally apply to that purchase unless otherwise required by law.
